These Terms of Service ("Terms") govern your access to and use of ThodaLogic Ops (the "Service"), operated by Udyansh Gulati ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you are signing up on behalf of an organization, you represent that you have the authority to bind that organization.
ThodaLogic Ops is a multi-tenant workspace for agencies to manage clients, content production, invoicing, accounts, HR/attendance, and related workflows. Each organization that signs up (a "Workspace") has its data logically isolated from every other Workspace.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly of any unauthorized use. We reserve the right to suspend accounts that violate these Terms or that we reasonably believe pose a security risk to the Service or other Workspaces.
Paid plans are billed in advance on a recurring basis through our payment processor, Razorpay. By subscribing, you authorize recurring charges to your chosen payment method until you cancel. Fees are non-refundable except where required by law. We may change our pricing with reasonable advance notice; continued use after a price change constitutes acceptance of the new pricing. A free trial, where offered, converts to a paid subscription unless cancelled before the trial ends.
You retain all rights to the data you upload or create in your Workspace ("Customer Data"). We do not claim ownership over it. You are responsible for the accuracy, legality, and appropriateness of Customer Data, including data about your own clients and team members that you enter into the Service. You are responsible for obtaining any consents required from your own clients or employees before entering their data into the Service.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to access another Workspace's data without authorization; (c) reverse-engineer, scrape, or overload the Service; (d) upload malicious code; or (e) use the Service to send unsolicited communications in violation of applicable law.
If you invite your own clients to use the Client Portal feature, you are responsible for ensuring your relationship with those clients permits sharing the relevant data with them through the Service.
You may cancel your subscription and stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice. Upon termination, we may delete your Workspace's data after a reasonable retention period.
The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, and our total liability for any claim is limited to the amount you paid us in the twelve (12) months preceding the claim.
We may update these Terms from time to time. We will notify you of material changes by email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of India.
